1. Overview

These Terms of Service ("Terms") govern your use of the website and services provided by Shoptimum LLC, operating as Shoptimum Studio ("we," "us," or "our"). Our services include conversion rate optimization (CRO) audits, Shopify development, UX consulting, and related project-based work.

By using our website or engaging our services, you agree to these Terms.

2. Services

Shoptimum Studio provides project-based Shopify CRO and development services. The scope, deliverables, timeline, and fees for each engagement are defined in a proposal or statement of work provided before the project begins.

These Terms apply to all engagements unless a separate signed agreement explicitly overrides specific provisions.

3. Proposals and Scope

All project work is subject to a proposal or scope of work agreed upon by both parties before work begins. A proposal becomes binding when the client accepts it in writing, including by email.

We reserve the right to decline any project at our discretion.

4. Fees and Payment

Fees are outlined in individual project proposals. Unless otherwise agreed, our standard terms are:

  • 50% of the project fee is due upfront before work begins.

  • Remaining balance is due within 7 days of invoice.

  • All fees are quoted in USD unless otherwise specified.

We reserve the right to pause or suspend work on any project with overdue invoices until payment is received. Specific payment structures for larger or phased projects will be detailed in the relevant proposal.

5. Client Responsibilities

When you engage our services, you agree to provide timely access to your Shopify store, analytics, and any accounts or materials needed for the project. You agree to provide accurate information about your business and goals, to review deliverables and provide feedback within a reasonable timeframe, and to designate a primary point of contact for project communication.

Delays caused by late or missing access, feedback, or materials are not the responsibility of Shoptimum Studio and may affect project timelines.

6. Intellectual Property

Deliverables. Upon full payment, you receive the right to use all work product created specifically for your project in connection with your business. Shoptimum Studio retains ownership of underlying frameworks, methodologies, tools, reusable code, templates, and general processes that are not unique to your project.

Pre-existing work. Any proprietary tools, libraries, or processes we bring to a project remain our property.

Your materials. You retain ownership of all content, data, and materials you provide to us. You grant us a limited license to use them solely for delivering the agreed services.

Portfolio use. Unless agreed otherwise, we may reference the engagement at a general, non-confidential level in our portfolio or marketing materials. We will not disclose confidential details, proprietary data, or specific results without your prior consent.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during an engagement — including analytics data, revenue figures, conversion data, business strategy, and login credentials.

These obligations do not apply to information that is already public, independently developed, or required to be disclosed by law.

8. Cancellation and Refunds

Before work begins. If you cancel before formal project work has started, any refund of the upfront deposit is at our discretion. The deposit may be reduced to reflect preparation, scheduling, administrative work, or other effort already carried out in anticipation of the engagement.

After work begins. If you cancel after work has started, you are responsible for payment for all work completed to date. We will provide a clear summary of work done and any remaining balance owed or credit due.

Completed phases. Fees for completed and delivered project milestones or phases are non-refundable.

Unresponsive clients. If a client becomes unresponsive for more than 14 days during an active project, we reserve the right to pause or close the engagement. Completed work will be invoiced accordingly.

Our right to cancel. We may terminate an engagement if the client fails to pay, becomes unresponsive, or engages in conduct that materially prevents the project from progressing.

In any cancellation scenario, we will make reasonable efforts to hand over completed work.

9. No Guaranteed Results

We apply professional expertise and industry best practices to every project, but we do not guarantee specific outcomes — including revenue increases, conversion rate improvements, or search rankings.

Results depend on many factors beyond our control, including client implementation, market conditions, platform changes, and user behavior. Any references to past results or case studies on our website are illustrative, not promises.

Website content such as blog posts, guides, or audit descriptions is for informational purposes only and does not constitute professional business, legal, or financial advice.

10. Limitation of Liability

To the extent permitted by law, Shoptimum LLC's total liability for any claim related to our services is limited to the fees paid by the client for the specific project in question.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost revenue, or lost data — even if we have been advised of the possibility of such damages.

11. Third-Party Services

Our work may involve third-party platforms and tools (such as Shopify, analytics providers, email platforms, or payment processors). We are not responsible for the terms, policies, availability, or performance of any third-party service.

12. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States.

If a dispute arises, both parties agree to attempt resolution in good faith before pursuing formal proceedings. If informal resolution is not successful, the parties agree that the dispute will be resolved in accordance with applicable law, with Wyoming as the preferred jurisdiction where practical.

13. Changes to These Terms

We may update these Terms from time to time. Changes take effect when posted on this page with an updated date. For active project engagements, changes do not apply retroactively to work already underway.

If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.
